Voting by proxy is permitted if a prescribed form, duly signed by the person entitled to attend and vote, is lodged with the company at its registered office within the prescribed time before the meeting. A corporate member or creditor must lodge a certified copy of the authorising resolution for its representative within the same time frame. Minors cannot be appointed as proxies. For blind, incapacitated, or non-English signatories a witness must attest the signature or mark, certify insertions and explanations, and provide their description and address.
