Wrongful withholding of company property triggers fines, restitution orders and possible imprisonment for noncompliance.

Clause 452 penalises officers or employees who wrongfully obtain or withhold company property, including cash, or knowingly apply it contrary to the articles or the Act; liability is actionable on complaint by the company or any member, creditor or contributory. The court may order delivery or refund of the property or benefits derived and, for non compliance with such orders, may impose imprisonment up to the statutory maximum.
