Ratification of an unauthorized act cannot create or revive legal consequences adverse to an innocent third person: a principal's later ratification cannot, as against a third party, subject that third party to damages or terminate that party's rights or interests arising from an act done without authority. This rule applies to unauthorized demands for possession and to unauthorized notices of termination, which cannot be made binding on third parties by subsequent ratification.
