....Court ordered dissolution of company and discharged Official Liquidator as Liquidator u/s 481 of Companies Act, 1956 as Official Liquidator could not proceed further with winding up process. Relying on Supreme Court decision in Meghal Homes case, held that when affairs of company completely wound up or court finds Official Liquidator cannot proceed with winding up for want of funds or any other reason, court can dissolve company.
