The joint application is maintainable in terms of Rule 3(2) of the Rules. 2. The Board of Directors of the applicant companies unanimously approved the "Scheme" by passing their Board resolutions. Upon sanctioning of the Scheme, the entire present issued, subscribed and paid-up capital of the A-1 and A-2 companies shall stand automatically cancelled and extinguished and these companies shall stand dissolved without undergoing the process of winding up. 29.
