In an application for sanction of the scheme of amalgamation, the court has to see whether the scheme as a whole is a reasonable and fair one and if the court finds that the scheme as a whole is fair and reasonable, then it is not for the court to substitute its judgment for the collective wisdom of the shareholders of the two companies.
