....t was contended that they rightly claimed the exemption as annual turnover is within the exempted limit and being a small scale industry entire manufacturing activity could not be carried out in their factory in the absence of installation of heavy machinery and have given such work to outsiders which is neither prohibited nor barred by law to claim exemption. The Additional Collector adjudicated the proceedings by the impugned order demanding duty of Rs. 1,68,083.77 from M/s. Commercial Tax Officer [1985 (59) STC 277 (295) SC] as they were neither aware of such concept nor anticipated such change of legal proposition in three years advance as Supreme Court judgment was delivered after 3 years from the date of cause of action; there was no fragmentation of any existing company with a view to avoid taxation as M/s. Premier Corporation existed even before the introduction of the exemptions to Small Scale Industries; Tax avoidance by legal means was permissible as per law existing there and the ratio of Mc Dowell case cannot be made applicable to the cause of action much prior to the decision. In support of this proposition he drew our attention to the cases of M.V. Valliappan and Others v. I.T.O and Others [1988 -170 ITR (Mad.) DB 238 283 286) wherein it explained the Mc Dowell judgment that legal effect of a transaction cannot be displaced by probing into the substance of the transaction and in the case of Pyare Lal Sharma v. ....epartment was justified in invoking the larger period of limitation. 13. We have considered the arguments advanced by both sides and perused the records. Mere commonness of Partners and Unity of management in control may not be sufficient to hold that one of the Units is a dummy or benami and at the same time mere separate registration with separate premises itself is not sufficient to hold that they are separate legal entities and clearances of their Units cannot be clubbed for the purpose of assessment under Central Excise Act, as the facts are otherwise. Hence, we have to take overall evidence to consider whether they are one and the same or not for the purpose of assessment under Central Excise Act. In the present case it is evident and admitted that the entire affairs and management including all the three Units are controlled by Shri Jagadesan. He is predominant in all the three Units viz. ....ation, were also not found in the respective units, which proves that they are installed only at the premises of M/s. Priya Corporation and balance-sheets have been manipulated to show that all of them are independent entities. Moreover, they have also admitted that certain works like testing and painting were carried out only in M/s. Priya Corporation. Even the number of employees found in the other 2 premises is too small to have any real manufacturing activity. From the cross-examination of Shri Vellachiamy, Superintendent (Preventive) also it is clear that only in the premises of M/s. Priya Corporation, the machinery capable of producing electric motor was available and in other two premises, there was not sufficient machinery or labour capable of producing electric motors independently. Though it is a fact that they are having separate Sales Tax assessments, Income-tax assessments and separate registrations, but the perusal of assessment orders of Commercial Tax Department produced by the Consultants also revealed that the units have not maintained the Statutory records of production-cum-stock account.
