      Summary: Section 55 and the Second Schedule permit conversion of a partnership firm into an LLP provided all partners of the firm comprise the LLP's partners. Conversion requires filing prescribed forms and fees, registration by the Registrar, and, on registration, automatic vesting of all assets, rights, liabilities and the undertaking in the LLP. Pre-existing contracts, proceedings and appointments continue in force as if the LLP were the original party, while partners remain personally liable for pre-conversion liabilities but may be indemnified by the LLP.

      National Advisory Committee on Accounting Standards
      Summary: The Central Government, invoking sub section (1) of section 210A of the Companies Act, 1956, constituted the National Advisory Committee on Accounting Standards to advise on formulation and laying down of accounting policies and standards for companies under the Companies Act, 1956 and 2013; it specifies representative membership drawn from professional institutes, regulators, ministries and industry, and provides that the Chairperson and members hold office for two years from Gazette publication or until the National Financial Reporting Authority is constituted, whichever is earlier.

      Summary: Amendment prescribes differentiated re-importation periods and extension authority: goods to Bhutan must be re-imported within seven years, with the Principal Commissioner or Commissioner allowed to extend up to three years; other goods (excluding DEEC/EPCG/DEPB exports) within three years, with the Commissioner able to extend up to two years; goods exported under DEEC, EPCG or DEPB must be re-imported within one year, with the Commissioner able to allow an additional one-year extension on sufficient cause.

      Summary: The guidance amends prosecution timing under the Customs Act to provide that, while prosecution is normally launched after adjudication, offences involving specified high-risk items-Gold, FICN, arms, ammunitions and explosives, antiques, art treasures, wildlife items and endangered species-may preferably be prosecuted immediately after issuance of a show cause notice; senior customs and CBEC officers are directed to circulate the amendment and report implementation difficulties to the Board.
