Issues: Whether, on a reasonable construction of the partnership deed dated 9 November 1959, Mohanlal was admitted only to the benefits of the partnership with the consent of all adult partners, and whether registration of the firm for the assessment year 1962-63 could validly be refused on the footing that the deed made the minor a full partner.
Analysis: The deed had to be construed as a whole, and effect had to be given to all its parts if possible. Two features were material: the deed expressly stated that the term "partner" included a minor given the benefits of partnership, and the recital stated that the adult parties agreed to give the seventh party the benefits of partnership. Read in that context, the clauses dealing with the rights and liabilities of the parties could not be isolated so as to override the express intention reflected in the deed. Applying the principle that a deed should, if reasonably possible, be saved and construed to give effect to the parties' intention consistently with law, the minor was held to have been admitted only to the benefits of the partnership and not made a full partner. The deed therefore did not contravene section 30 of the Indian Partnership Act, 1932, and was not invalid for registration purposes.
Conclusion: The question was answered in the negative and in favour of the assessee; registration could not be refused on the ground that the deed treated Mohanlal as a full partner.
Ratio Decidendi: A partnership deed concerning a minor must be construed reasonably and as a whole, and where it expressly indicates admission of the minor only to the benefits of partnership, the deed is valid and cannot be rejected for registration as one making the minor a full partner.
