<h1>Directors Interested in Contract Can't Form Quorum; Section 287 Requires Uninterested Directors or General Meeting Approval.</h1> In situations where all directors of a company are interested in a contract, they cannot be counted towards the quorum for a board meeting as per section 287. If the number of interested directors is equal to or exceeds two-thirds of the total directors, uninterested directors will form the quorum. To address this issue, the board should appoint additional disinterested directors or co-opt directors authorized by the articles. If appointing new directors is impractical, the proposed contract should be presented at a general meeting for approval.
