Expiry of director's term in company dispute, appeal disposed with direction to decide pending petition on merits quickly
The dominant issue was whether the expiry of a director's term warranted adjudication by the SC on the merits of the company dispute. The SC held that it ... Expiry of term of directorship of the concerned Director - HELD THAT:- It is not necessary to consider the case on merits. Consequently, this Civil Appeal is disposed off by directing the National Company Law Tribunal (NCLT) to consider the company petition on merits as expeditiously as possible. Appeal disposed off. The Civil Appeal arose from an impugned order in which the respondents 'had succeeded.' The dispute related to the 'term of directorship of the concerned Director,' which was 'between 01.04.2016 and 31.03.2021' and had expired. In light of this supervening circumstance, the Court held that it did 'not think it necessary to consider the case on merits' and disposed of the appeal, directing the National Company Law Tribunal (NCLT) 'to consider the company petition on merits as expeditiously as possible.' The Court expressly clarified that it had 'not made any observations on the merits of the case,' and that 'All contentions on both sides are left open to be advanced before the NCLT.' The parties were permitted to seek interim or final relief before the NCLT; if any party applies for an interim order, it 'shall be considered expeditiously.' Pending applications, if any, were disposed of accordingly.
