      Summary: Central Government notifies seven Regional Directors in the Ministry of Corporate Affairs to discharge functions under the Companies Act, 2013 for the specified States and Union Territories, allocating territorial jurisdiction to each Regional Directorate. The notification also preserves continuity by directing those Regional Directors to continue exercising functions conferred or delegated under the Companies Act, 1956 in respect of provisions of that Act still in force, and declares the notification effective from its publication in the Official Gazette.

      Foreign Exchange Management (Transfer or Issue of Security by a Person Resident outside India) (Tenth Amendment) Regulations, 2015
      Summary: Amendments clarify that Total Foreign Investment comprises all direct and indirect foreign investments made under the Regulations' Schedules; FCCBs and DRs with debt-like underlying instruments are excluded unless converted into equity, in which case resulting equity is counted. Schedule 1 provisos establish that sectoral caps are composite (including all foreign investment), set rules on minimum capitalization (including share premium only at time of issue to non-residents), confirm approval requirements where ownership or control transfers to non-residents, permit certain portfolio investments to avoid approval if they do not transfer ownership/control, and impose onus of compliance on the investee company.

      Software Export – Filing of bulk SOFTEX-further liberalisation
      Summary: All software exporters may generate and file single and bulk SOFTEX forms in Excel for certification; STPI/SEZ retain one certified copy and return the duplicate to the exporter. Exporters must obtain SOFTEX numbers via the RBI website, submit certified forms to the competent authority and then to the Authorised Dealer, and comply with transmission and certification procedures under the Foreign Exchange Management Act, 1999.

      Summary: Permits residents with long-term foreign currency borrowings to enter into FCY-INR swaps with MFIs/IFIs in which the Government of India is a shareholder, provided swaps are undertaken on a back-to-back basis with AD Category-I banks, limited to such MFIs/IFIs, comply with existing FCY-INR swap operational guidelines, have a minimum tenor of three years, require the MFI/IFI to bring foreign currency funds in event of borrower default, and mandate AD Category-I banks to report transactions and borrower details on the CCIL reporting platform.
