      Summary: CSR activities must align with a declared CSR Policy and subjects listed in Schedule VII. Eligible CSR consists of projects in Schedule VII or Board-approved projects recommended by the CSR Committee, implemented in India and not in the ordinary course of business or for employee benefit. Companies may implement CSR directly, by contract, or via registered trusts/societies with a three-year track record; contributions through such entities are subject to a cap. CSR expenditure includes all spending, including corpus contributions, approved by the Board on the CSR Committee's recommendation but excludes non-Schedule VII spending.

      Chapter XXIV – The Companies (Registration Offices and Fees) Amendment Rules, 2014
      Summary: A new sub-rule mandates pre-certification of specified e-forms filed by companies (excluding one person companies and small companies) by a Chartered Accountant, Company Secretary or Cost Accountant in whole-time practice, with particular forms requiring certification by auditors, company secretaries or chartered accountants as specified; E-form DIR-3 requires attestation of photograph, identity and residence by such professionals. The Central Government shall establish and maintain a secure centralized electronic registry for filing and electronic storage of applications, financial statements, prospectuses, returns, registers, memoranda, articles, particulars of charges and other documents under the Act.

      AVAILABILITY OF E-FORM/NON-E-FORM UNDER THE COMPANIES ACT, 2013.
      Summary: W.e.f. 28 April 2014, stakeholders must attach seventeen prescribed physical forms to three designated general e-forms when filing, ensuring the physical forms are duly signed/certified as required; mappings of which physical form attaches to which general e-form are provided. Specific general e-forms allow related filings (e.g., extensions of AGM/accounting period, liquidation documents, director particulars, petitions to Central Government). Registrars of Companies and approving officers are required to verify all fields on attached physical forms, including company name and CIN, before registry or approval.
