      Companies (Audit and Auditors) Second Amendment Rules, 2021
      Summary: Amendment narrows the temporal scope of rule 11(g) of the Companies (Audit and Auditors) Rules, 2014 by substituting the clause's opening words so that it applies only in respect of financial years commencing on or after 1 April 2022, thereby delimiting the applicability of rule 11(g) by the specified financial year cut off.

      Companies (Accounts) Second Amendment Rules, 2021
      Summary: The amendment replaces the commencement date in the proviso to sub rule (1) of rule 3 of the Companies (Accounts) Rules, 2014 with a later date, thereby postponing the proviso's applicability; the rules are made under section 134 read with section 469 of the Companies Act, 2013 and are titled Companies (Accounts) Second Amendment Rules, 2021.

      Agreement between the Government of the Republic of India and the Government of the Islamic Republic of Iran for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes
      Summary: The Central Government notifies that the Agreement between India and Iran for avoidance of double taxation and prevention of fiscal evasion on income taxes has entered into force and shall be given effect in India. The Agreement applies to residents and to taxes on income, establishes residence and permanent establishment rules (including thresholds for construction and services), allocates taxing rights for business profits, immovable property, dividends, interest, royalties and fees for technical services with limited source taxation subject to effective-connection exceptions, and provides mutual agreement, exchange of information and a principal-purpose entitlement-to-benefits rule; the Protocol clarifies fiscal year definitions and implementation details.

      Income-tax (eighth Amendment) Rules, 2021 - Amends Rule 6G. Report of audit of accounts to be furnished under section 44AB - Revision of Tax Audit Report in certain cases
      Summary: A new sub-rule permits revision of the tax audit report by furnishing a revised auditor's report, signed and verified, before the end of the relevant assessment year where payments made after initial filing necessitate recalculation of disallowances under provisions governing deductible expenditures and timing of deduction. Concurrently, Form 3CD is amended to require disclosures about opting for specified taxation regimes, detailed reporting of undervalued property transfers with a tabular format, adjustments to written down value including exclusion of goodwill, and a restructured schedule for brought forward losses and depreciation reflecting adjustments linked to opting into alternative tax regimes.

      Settlement Commission (Income-tax and Wealth-tax) (Recruitment and Conditions of Service of Chairman, Vice-Chairmen and Members) Amendment Rules, 2021
      Summary: The amendment inserts a proviso in rule 7 providing that any person appointed as Chairman, Vice-Chairman or Member holding office immediately before a date to be notified shall, on and from such date, cease to hold such office and shall be entitled to claim compensation not exceeding three months' pay and allowances for premature termination of their term. The amendment is retrospective to 1st February, 2021 pursuant to a Finance Bill provision that the Settlement Commission shall cease to operate on or after that date.

      Income-tax (7th Amendment) Rules, 2021 - Amends Rule 12 - Return of income - Prescribes new ITR forms for the AY 2021-22 onwards
      Summary: The Income-tax (7th Amendment) Rules, 2021 amend Rule 12 effective 1 April 2021 to add persons whose tax has been deducted under section 194N and persons with deferred payment or deduction of tax under employer/payer deferment provisions to the return filing provisos, and substitute revised ITR forms (SAHAJ/ITR 1, ITR 2, ITR 3, SUGAM/ITR 4, ITR 5, ITR 6, ITR 7 and ITR V) in Appendix II for Assessment Year 2021 22 onwards.

      Securities and Exchange Board of India (Underwriters) (Repeal) Regulations, 2021
      Summary: The notification repeals the Securities and Exchange Board of India (Underwriters) Regulations, 1993 effective on publication in the Official Gazette, with certificates of registration under the 1993 Regulations deemed to be surrendered. It contains savings provisions preserving prior operation, rights, obligations, liabilities, penalties and ongoing investigations, legal proceedings or remedies, permitting such matters to be continued and enforced as if the 1993 Regulations had not been repealed.

      Securities and Exchange Board of India (Stock Brokers) (Amendment) Regulations, 2021.
      Summary: Registered stock brokers are permitted to act as underwriters and must enter written underwriting agreements with issuers detailing term, duties, obligation amounts, subscription timelines, commission and fulfilment arrangements. They must maintain prescribed books and records, including audited financials for corporate underwriters and receipts/payments and assets/liabilities for non-corporate underwriters, and retain records of agreements and subscribed amounts. Brokers must fund underwriting from their own net worth/funds as prescribed, limit aggregate underwriting obligations relative to net worth, subscribe to securities when called within the prescribed period, and comply with enhanced disclosure, conflict-of-interest, conduct, and market-integrity requirements.

      Securities and Exchange Board of India (Merchant Bankers) (Amendment) Regulations, 2021.
      Summary: The amendments require merchant bankers acting as underwriters to enter written agreements with issuers specifying duration, duties, underwriting obligations, subscription timing and remuneration; prohibit indirect benefits beyond agreed commission; cap aggregate underwriting obligations relative to net worth; mandate subscription within a prescribed period upon intimation; and require maintenance of records including agreements, amounts subscribed and capital adequacy statements, with additional prohibitions on insider trading, misrepresentation and unfair competition.
