<h1>Companies Can Declare Dividends Outside AGM Unless Restricted; No Additional Dividend After AGM Declaration, Per Calcutta High Court.</h1> A company is not prohibited by the Companies Act from declaring a dividend at a general meeting other than the annual general meeting, unless restricted by its articles of association. However, once a dividend is declared at the annual general meeting, the company cannot declare an additional dividend for the same year. This position is supported by a decision from the Calcutta High Court. If a dividend was not declared at the annual meeting, it can be declared at a subsequent meeting. The Company Law Board advises adherence to these guidelines.
