A company previously accepted and having no functional dissimilarity was directed to be included.
Conclusion: The identified functionally dissimilar comparables were directed to be excluded, and the eligible comparable was directed to be included, in favour of the assessee.
Issue (ii): Whether correction of comparable margins, working-capital adjustment and proportionate transfer-pricing adjustment were required.
Analysis: Working-capital differences between the assessee and comparables materially affect margin comparability. Earlier decisions in the assessee's case had accepted the adjustment and prescribed verification of its computation; unavailable daily balances could not justify denial. The remaining comparable margins were required to be computed using correct figures, and proportionate adjustment was required to follow the approach adopted pursuant to prior Tribunal directions.
Conclusion: The Assessing Officer/Transfer Pricing Officer was directed to recompute margins correctly, grant working-capital adjustment on verification where materially warranted, and provide proportionate-adjustment relief consistently with the earlier approach, in favour of the assessee.
Issue (iii): Whether the arm's length price of back-office, sales and marketing support services could be determined separately at nil.
Analysis: The support services were integral to the subscription and services segments, under which the assessee operated on assured margins. Once the overall segmental margins are benchmarked under the Transactional Net Margin Method and found to be at arm's length, separate benchmarking of an individual operating-cost item is unwarranted. A standalone nil valuation would result in a double adjustment.
Conclusion: No transfer-pricing adjustment was called for in respect of the back-office, sales and marketing support services, in favour of the assessee.
Issue (iv): Whether tax deducted at source credit and interest under Sections 234A and 234B required recomputation.
Analysis: The tax computation required grant of the appropriate tax deducted at source credit and exclusion of interest under Section 234A. Interest under Section 234B was consequential and required determination in accordance with law after recomputation.
Conclusion: The Assessing Officer was directed to recompute the tax payable or refund, allow tax deducted at source credit, and not levy interest under Section 234A; the Section 234B issue was left for consequential determination, in favour of the assessee.
Final Conclusion: The transfer-pricing benchmark was directed to be recomputed after giving effect to the comparable-selection directions, working-capital adjustment and consequential tax computation, with deletion of the separate nil-price adjustment for intra-group support services.
Ratio Decidendi: Under a Transactional Net Margin Method analysis, an operating-cost transaction integral to an assured-margin segment cannot separately be valued at nil once the segmental margin is established at arm's length; comparables must also satisfy functional comparability having regard to functions performed, assets employed and risks assumed.

Ltd. and Akash Educational Services Ltd. were excluded, while Compucom Software Ltd. was included; the remaining contested comparables were left academic. Comparability of software development service companies - Absence of segmental information - Selection of comparables for benchmarking software development services rendered by a routine service provider - HELD THAT: - Companies engaged in diversified software and product-development activities, owning proprietary products or intangibles, assuming entrepreneurial risks, or lacking segmental information for product and service revenue could not be compared with the assessee's routine software development services. Consistency with earlier years also required inclusion or exclusion where the functional profile remained unchanged and no distinguishing material was shown. [Paras 15, 16, 28] Nihilent Ltd., Cybage Software Pvt. Ltd., Comviva Technologies Ltd., Consilient Technologies Pvt. Ltd., Ksolves India Ltd. and, for AY 2022-23, Moonfrog Labs Pvt. Ltd. were excluded; Interglobe Technology Quotient Pvt. Ltd. was included. Comparability of IT-enabled service companies - Product ownership and entrepreneurial risk - Selection of comparables for benchmarking IT-enabled services rendered by the assessee - HELD THAT: - A company undertaking diversified publishing and digital solutions, owning proprietary products and platforms, conducting significant research and development and marketing activities, and assuming higher risks was functionally incomparable to a routine IT-enabled service provider. The exclusion of another publishing-solutions company was also sustained consistently with the assessee's earlier years. [Paras 18] M P S Limited and Integra Software Services Pvt. Ltd. were excluded from the final set of comparables; the other contested comparables were left academic. Working capital adjustment - Material impact on comparable margins - Entitlement to working capital adjustment while determining margins of comparable companies across the transfer pricing segments - HELD THAT: - Working capital adjustment must be granted where differences in working-capital levels materially affect comparable margins. The unavailability of daily balances in the public domain could not defeat an otherwise legitimate adjustment, particularly when the assessee furnished the requisite details for verification. [Paras 9] The Assessing Officer/Transfer Pricing Officer was directed to verify the requisite details and grant working capital adjustment in accordance with law. Segmental aggregation under TNMM - Assured-margin model - Nil arm's length price for intra-group services - Separate transfer pricing adjustment for back-office, sales and marketing support services forming part of the subscription and services segments operating under an assured-margin model - HELD THAT: - Where TNMM benchmarks the overall segmental margins at arm's length, it subsumes individual transactions forming part of the operating cost of that segment. As the support services were integral to the subscription and services segments and the assured-margin arrangement insulated profitability from individual cost variations, determining their arm's length price at nil on a stand-alone basis resulted in a double adjustment. [Paras 23] No transfer pricing adjustment was called for in respect of back-office, sales and marketing support services. TDS credit and interest computation - Levy of interest under section 234A - HELD THAT: - On the facts found, interest under section 234A was not leviable and tax deducted at source credit had to be allowed. Interest under section 234B was consequential and required determination in accordance with law. [Paras 24] The Assessing Officer was directed to recompute the tax payable or refund due after allowing tax deducted at source credit and without interest under section 234A. Final Conclusion: The assessee's appeals for AY 2021-22 and AY 2022-23 were allowed, with consequential recomputation directed in accordance with the findings on comparables, working capital adjustment, intra-group support services, tax deducted at source credit and interest.
