A creditor may petition for winding-up by the Tribunal when the LLP is indebted and has failed to pay, provide adequate security, or restructure the debt after a demand. The petition must identify the petitioner and authorised representative, state the LLP's incorporation, registered office, business and partners, set out particulars of the debt and service of demand, and note creditor consent that the LLP cannot meet debts in a voluntary winding-up or that voluntary winding-up is not in creditors' interests. The petition requests Tribunal-supervised winding-up and other just orders.
