India Revises Business Combination Rules: Higher Fees, Simplified Verification, and Global Filing Disclosures Under Competition Act 2002.
The Competition Commission of India issued amendments to its 2011 regulations concerning business combinations under the Competition Act, 2002. Key changes include disregarding transaction structures that avoid notice requirements, increasing filing fees from ten to fifteen lakhs and from forty to fifty lakhs, and modifying requirements in Forms I and II. Specifically, the amendments address horizontal and vertical relationships in business combinations and require disclosure of filing requirements in other jurisdictions. Regulation 29 and certain categories in Schedules I and II are omitted, and the verification process for combining parties is simplified. These amendments took effect upon publication in the Official Gazette.
