      Foreign Exchange Management (Transfer or Issue of Security by a Person Resident outside India) (Twelfth Amendment) Regulations, 2013
      Summary: The Regulations amend Regulation 14 to broaden the definition of control to include rights to appoint a majority of directors, control management or policy decisions, and influence via shareholding, management rights, shareholders' agreements or voting agreements; they delete the prior narrower clauses. The notification substitutes Annex B with a revised sectoral policy listing FDI ceilings, entry routes and sector-specific conditions, and provides that the amendments are deemed effective from the stated commencement date with a non-adverse retrospective clarification.

      Summary: Indian companies making downstream investments must bring in requisite funds from abroad and not use funds borrowed in the domestic market; downstream operating companies may raise domestic debt. Downstream investments through internal accruals are permissible only by an Indian company engaged solely in investing in the capital of another Indian company/ies and are subject to the provisions of clause 6(i).

      CHAPTER XXVII - NCLT salary of president & members
      Summary: The rules prescribe pay and service conditions for the Tribunal: the President receives salary and allowances comparable to a High Court judge; Judicial Members' pay aligns with prior judicial rank; Technical Members receive Pay Band 4 Grade Pay. Retired appointees' pay is reduced by gross post retirement benefits (except pension equivalent of gratuity). The President and Members are governed by the Contributory Provident Fund Rules, receive specified leave, travel, LTC and medical benefits, and must take oaths and declare absence of adverse financial interests, with unresolved service matters referred to the Central Government.

      Summary: Adjudication of penalties appoints officers not below Registrar as adjudicating officers, requires written show-cause notices with minimum response periods and possible extensions, mandates hearings with reasonable opportunity to be heard, grants powers to summon witnesses and compel documents, and directs consideration of disproportionate gain, investor or creditor loss, and repetitiveness in determining penalty quantum. Orders must be dated, signed and communicated; proceedings are exempt from CPC, Evidence Act and CrPC, and penalties accrue to the Consolidated Fund of India.

      Proposed Draft Corporate Social Responsibility Rules - dated 9-9-2013
      CHAPTER IX-CSR RULES
      Summary: Corporate Social Responsibility is an ongoing business obligation requiring qualifying companies to adopt a CSR Policy, allocate a prescribed proportion of average net profits to a CSR corpus, and ensure that CSR surplus is not treated as business profit. The CSR Committee must prepare the policy and a transparent monitoring mechanism; activities must be projects outside normal business, implemented within India, and not exclusively for employees. Companies may implement CSR directly or through qualifying trusts, societies or Section 8 companies with established track records. Annual reporting in the Directors' Report and on the company website using the prescribed format is required.
