Proposed Changes to Companies Rules 2014: Simplifying Forms, Removing Duplicates, and Easing Reporting for Listed Companies.
Proposed amendments to the Companies (Management and Administration) Rules, 2014, include maintaining a register of members in Form No. MGT-1 for companies incorporated prior to April 1, 2014, using details from the 1956 Act. It recommends removing the requirement to file Forms MGT-4 and MGT-5 in duplicate and simplifying the annual return form MGT-7. The Committee suggests allowing Company Secretaries in employment to certify annual returns and omitting Form MGT-9. Section 93's requirement for listed companies to report promoter stake changes may be removed. Amendments to rules on extraordinary general meetings and postal ballots are also proposed.
