<h1>SEBI Updates Guidelines: Companies Can Issue NCDS and DSCE Without Prior Equity; New Rules on Disclosure and Compliance.</h1> The Securities and Exchange Board of India (SEBI) has amended the Disclosure and Investor Protection Guidelines, 2000, allowing companies to issue non-convertible debt securities (NCDS) and debt securities convertible into equity (DSCE) without issuing equity first. Key conditions include obtaining a credit rating, promoter contributions, compliance with disclosure requirements, and obtaining consent from NCDS holders for changes in terms. The guidelines also cover public issues by unlisted companies and municipal corporations, and allow for a 20% price band in offer documents. These changes are effective immediately as per the circular.
