Conclusion: Rheal Software Pvt. Ltd., Kals Information Systems Pvt. Ltd., Great Software Laboratory Pvt. Ltd. and Toxsl Technologies Pvt. Ltd. shall be included as comparables. Celstream Technologies Pvt. Ltd. and Orchasp Ltd. shall remain excluded. Happiest Minds Technologies Ltd., Robosoft Technologies Pvt. Ltd. and I D S Infotech Ltd. shall be excluded, while Cybage Software Pvt. Ltd. and Nintec Systems Ltd. shall remain included. The comparability of Brain Teclabs Pvt. Ltd. is remitted for verification of its annual report and financials, with inclusion if the applicable filters are satisfied. The finding is partly in favour of the assessee.
Issue (ii): Whether delayed trade receivables could be subjected to a separate notional-interest adjustment after benchmarking the software development services transaction under TNMM.
Analysis: The outstanding receivables arose solely from the software development services transaction and were closely linked to that transaction. Under TNMM, reasonably accurate adjustments are required for material differences between the tested transaction and uncontrolled comparables. Delayed receivables affect working capital and, consequently, the profitability comparison. Once working-capital adjustment is computed on the selected comparables, the receivables impact stands incorporated in the profitability analysis.
Conclusion: Working-capital adjustment shall be computed and granted for the software development services transaction; no separate notional-interest adjustment on delayed receivables is warranted thereafter. The finding is in favour of the assessee.
Issue (iii): Whether the total income in the computation sheet and demand notice required correction to conform to the assessed income.
Analysis: The computation sheet and demand notice reflected income higher than that determined in the assessment order. The discrepancy required correction using the figures determined in accordance with law.
Conclusion: The total income and consequential demand shall be correctly recomputed using the proper assessed-income figures. The finding is in favour of the assessee.
Final Conclusion: The transfer-pricing benchmark is to be recalculated after revising the comparable set and granting working-capital adjustment, with consequential correction of the assessed income and demand; the limited verification concerning Brain Teclabs Pvt. Ltd. remains pending before the transfer-pricing and assessing authorities.

Companies operating across wide and complex digital-product domains or undertaking the entire product-development lifecycle were not functionally comparable. Conversely, companies deriving revenue from software development services, without material establishing functional dissimilarity, were to be included. A company having multiple revenue streams without segmental bifurcation for the relevant software-development activity could not be retained, whereas companies for which relevant segmental reporting or functional information was available remained comparable. [Paras 41, 47, 50, 53, 54] Rheal Software Pvt. Ltd., Kals Information Systems Pvt. Ltd., Great Software Laboratory Pvt. Ltd. and Toxsl Technologies Pvt. Ltd. were directed to be included; Celstream Technologies Pvt. Ltd., Orchasp Ltd., Happiest Minds Technologies Ltd. and I D S Infotech Ltd. were directed to be excluded; and Cybage Software Pvt. Ltd. and Nintec Systems Ltd. were retained as comparables. Related-party transaction filter - Retention of Robosoft Technologies Pvt. Ltd. as a comparable despite related-party transactions exceeding the filter applied by the Transfer Pricing Officer - HELD THAT: - The Tribunal found, from the annual-report figures, that the company's related-party transactions exceeded the 25 per cent filter applied by the Transfer Pricing Officer. It therefore failed the applicable related-party transaction filter. [Paras 44] Robosoft Technologies Pvt. Ltd. was directed to be excluded from the comparable set. Verification of financials of proposed comparable - Inclusion of Brain Teclabs Pvt. Ltd. as a comparable without examination of its annual report and financials - HELD THAT: - Since the relevant annual report and financials had not been examined by the lower authorities, comparability required verification. There was no dispute that the company was engaged in software development services. [Paras 35] The matter was restored to the Transfer Pricing Officer/Assessing Officer for limited verification; Brain Teclabs Pvt. Ltd. shall be included if it satisfies the filters applied by the Transfer Pricing Officer. Working-capital adjustment for delayed receivables - Combined benchmarking of closely linked international transactions - Separate notional-interest adjustment on delayed trade receivables arising solely from software development services benchmarked under TNMM - HELD THAT: - The outstanding receivables arose solely from the software development services transaction and were closely linked to it; consequently, both transactions required combined benchmarking. Delayed receivables affect working capital and pricing or profitability vis-a -vis comparables. Under TNMM, reasonably accurate adjustments are to be made for material differences; once a working-capital adjustment is granted, the receivables impact is subsumed in profitability and no separate notional-interest adjustment is warranted. [Paras 57, 58, 59] The Transfer Pricing Officer/Assessing Officer was directed to compute and grant working-capital adjustment, and the separate adjustment for notional interest on outstanding receivables was not sustained. Correction of computation of assessed income - Correction of the total income adopted in the computation sheet and notice of demand - HELD THAT: - As a rectification application had already been filed concerning the discrepancy, the Assessing Officer was directed to adopt the correct figures of income in accordance with law. [Paras 60] The Assessing Officer was directed to recompute the assessee's income using the correct figures. Final Conclusion: The appeal was partly allowed for statistical purposes. The comparable set was modified, the issue concerning Brain Teclabs Pvt. Ltd. was remanded for limited verification, working-capital adjustment was directed in place of separate interest on delayed receivables, and the assessment computation was directed to be corrected.
