Consequently, the reference to the Transfer Pricing Officer for benchmarking that specified domestic transaction, and the resulting adjustment, were invalid. Judicial discipline required following the High Court decision on the effect of such omission. [Paras 15, 16] The transfer-pricing adjustment in respect of the specified domestic transaction was deleted. Unlike inter-unit sales, which could involve provision of services and justify a markup, allocation of common head office costs did not amount to rendering services by an independent business unit. The head office was a cost centre, not a profit centre, and the consistently followed allocation method could not be departed from without justification. [Paras 22] The adjustment made by treating the head office as an independent service provider was deleted. Interest-free advance to associated enterprise - Arm's length interest benchmarking - Whether Interest-free advance extended to an associated enterprise for repayment of its subsidiary's bank obligations was an independent international transaction requiring arm's length interest benchmarking? - HELD THAT: - For Chapter X purposes, availability of the assessee's own funds and commercial expediency did not exclude benchmarking of funds advanced to an associated enterprise in another tax jurisdiction. Lending is expressly included within international transactions, and an unrelated party would not ordinarily make an interest-free advance merely because it possessed sufficient own funds. The decision relied upon did not prohibit addition of basis points to LIBOR, and no material was produced to displace the adopted rate. [Paras 31, 32] The benchmarking of notional interest at LIBOR plus 400 basis points was sustained. Expenditure on brand promotion - Advertisement and market-research expenditure - Revenue v/s capital expenditure - characterization of Brand ambassador fees, contractual design fees and product market-research expenditure incurred for advertising and sales promotion - HELD THAT: - The expenditure required recurring outlay in response to changing consumer preferences, market conditions and the short-lived effect of visual advertising and celebrity endorsement. It did not create a tangible or intangible asset of indefinite duration or form part of the profit-earning apparatus; any enduring benefit was only in the revenue field. [Paras 36, 37, 38, 39] The disallowance of the identified advertisement and brand-promotion expenditure as capital expenditure was deleted. Final Conclusion: The appeals were partly allowed. The guarantee commission adjustment was restricted, the specified domestic transaction and head office-cost adjustments and the advertisement disallowance were deleted, while the arm's length interest adjustment on the advance to the associated enterprise was sustained.
