New Guidelines for Using Company Common Seal: Adoption, Affixation, and Documentation as per Secretarial Standard-8
The Secretarial Standard-8 (SS-8) on the Affixing of Common Seal, issued by the Institute of Company Secretaries of India, outlines procedures for using a company's common seal. It mandates that the seal, a metallic signature of the company, be adopted by Board resolution and affixed only with Board or authorized committee approval. The seal must be present at the registered office, and its affixation requires the presence of specific company officials. A register of documents sealed must be maintained. Additionally, companies operating internationally may use an official seal, a facsimile of the common seal, under similar protocols. This standard has been effective since November 6, 2008.
