    <description>Members of a company not limited by shares retain the right to attend and vote at general meetings under the Companies Act, 1956 and Table C of Schedule I. A regulation confining general meetings to representatives and excluding all shareholders from attendance and voting conflicts with the statutory scheme, including provisions concerning meeting notices, proxies and voting restrictions, which recognise member participation subject only to express limits. Administrative difficulty in convening a large membership does not justify removing this inherent membership right. Such a regulation is void to the extent of its inconsistency with the Act and Table C.</description>
