Shareholders of a class may apply, by letter of authority, to cancel a variation of rights; the application in Form No. NCLT.1 must include a schedule of shareholders, annexed authority letters, particulars of registration, capital structure, the authorising memorandum or articles, total shares affected, nature of variation, counts of consenting and dissenting shareholders with dates and reasons for opposition. The applicant must advertise the application and serve any objections on the Registrar of Companies and Regional Director. After hearing interested persons, the Tribunal may cancel the variation if satisfied it would unfairly prejudice the class, or confirm it with reasons and make cost orders.
