    <description>The Tribunal may, suo motu or on application by a director or voting member, order that a company meeting (other than an annual general meeting) be called, held and conducted in such manner as it thinks fit and give ancillary directions, including modifying the operation of the Act or the articles. Directions may deem one member present in person or by proxy to constitute a meeting, and any meeting held under such an order is deemed, for all purposes, to be duly called, held and conducted.</description>
