    <description>Every Producer Company must hold an Annual General Meeting annually with specified intervals and a Registrar-granted extension in special cases; the first AGM must occur within ninety days of incorporation. The AGM must adopt the articles and appoint directors. Notices must include agenda, prior minutes, candidate names and qualifications, audited financial statements and a Board report addressing state of affairs, reserves, limited return on share capital, patronage bonus, material financial changes, energy and environmental matters, and any Board-specified items, plus draft resolutions for auditors and amendments. Requisition by one-third of voting members triggers an extraordinary meeting. Meetings require fourteen days&#039; notice, a quorum of one-fourth unless higher in the articles, prescribed timing and place, and filing of proceedings and accounts with the Registrar within sixty days. Producer institutions are represented by their Chairman or Chief Executive unless disqualified under the stated defaults.</description>
