    <description>Companies of seven or more members existing at the specified date, and thereafter formed companies duly constituted under law, may register under this Act as unlimited, limited by shares, or limited by guarantee subject to statutory exceptions. Excluded are companies already registered under earlier Companies Acts, companies whose members&#039; liability is limited by other enactments (unless joint stock companies), and companies with registered offices in specified territories. Registration requires member assent at a general meeting with majority thresholds and poll-vote counting under company regulations; registration as a company limited by guarantee requires a resolution whereby each member undertakes a contributory liability on winding-up up to a stated maximum.</description>
