    <description>Companies limited by shares and guarantee with share capital must hold a statutory meeting within one to six months and the Board must, at least twenty-one days before the meeting, forward a statutory report to members. The report must list share allotments, cash received, an abstract of receipts and payments including preliminary expenses and commissions, names and occupations of directors and auditors and specified contract, underwriting and commission particulars. Two directors must certify the report and auditors must certify portions relating to shares and cash; the Board must file the certified report with the Registrar and keep a members&#039; list open at the meeting. Members may discuss formation and report matters; resolutions require prior notice. The section excludes private companies.</description>
