    <title>1996 (7) TMI 462 - HIGH COURT OF MADRAS</title>
    <link>https://www.taxtmi.com/caselaws?id=103327</link>
<description>Section 9 CPC preserves civil court jurisdiction over civil disputes unless excluded expressly or by necessary implication. The Companies Act, 1956 does not bar civil court jurisdiction for every issue arising under it, and the Company Court&#039;s jurisdiction under sections 2(11) and 10 is confined to matters specifically entrusted by the Act. Section 283(1)(g) only specifies when a director&#039;s office becomes vacant; it does not create a remedy for a declaration on whether the office has or has not been vacated. A petition for such a declaration was therefore not maintainable before the Company Court, and the dismissal was upheld.</description>
