The regulations mandate registration, prescribe eligibility, fit and proper and net worth criteria, and impose fee, reporting, record-keeping, and investor grievance redress obligations on registrars to an issue and share transfer agents. They require segregation of services to unlisted companies, establish a code of conduct, compliance and internal control requirements, whistle-blower protection, and robust surveillance and escalation mechanisms to prevent fraud and market abuse. SEBI is empowered to inspect, investigate, appoint auditors, take disciplinary action, grant exemptions, and relax requirements in specified circumstances.
