of <h1>New Rules for Independent Directors: Online Registration, Proficiency Test Required Unless 10 Years Experience.</h1> The Companies (Appointment and Qualification of Directors) Fifth Amendment Rules, 2019, effective from December 1, 2019, mandate that individuals appointed or intending to be appointed as independent directors must apply online to include their names in a data bank for specified periods. They must renew their inclusion periodically unless they have paid a lifetime fee. Independent directors must also pass an online proficiency test within a year of inclusion, unless they have ten years of experience as directors or key managerial personnel in certain companies. Compliance declarations must be submitted to the Board.
