Benchmark interest rate normalisation raises borrowing costs while monetary policy monitors inflation, wage growth, currency risks, and economic recovery.
The Bank of Japan increased the uncollateralised overnight call rate from 1.0 per cent to 1.25 per cent, advancing monetary-policy normalisation after a prolonged period of near-zero or negative rates. The increase was assessed against gradual economic recovery, inflation near its target, wage growth, currency fluctuations, elevated crude oil prices, and external risks. Further tightening remains contingent on stable price increases, wage developments, and monitoring of other risks.

Trust-nominated director consent shapes the contested chairmanship reappointment as regulatory classification renews pressure to consider a stock-market listing.
Validity of the reappointment is therefore contested under the company's internal governance framework despite the majority board vote, and the appointment is expected to be considered for ratification at the annual general meeting. The dispute also concerns the distinction between shareholder influence and directors' decision-making duties. A Trust sought to direct its nominee director to oppose a listing, but the director declined on the basis of independent director duties.

Selective capital reduction offers a proposed shareholder-liquidity route while preserving private-company status, subject to valuation and approval scrutiny.
Tata Trusts has placed before the Tata Sons board a framework for the Shapoorji Pallonji Group to monetise part of its Tata Sons shareholding without requiring a public listing. The transaction would be valued under Rule 11UA principles, completed in two tranches over 18 months, and require Tata Sons to commence a selective capital reduction process before the National Company Law Tribunal. Completion remains contingent on financing capacity, regulatory and tribunal approvals, and scrutiny of valuation, shareholder treatment, and the legal validity of the capital-reduction structure.

Board chair reappointment validity turns on mandatory nominee-director approval, amid separate listing-compliance and succession disputes.
Tata Sons' board reappointed its executive chairman by majority vote, but Tata Trusts contend that the resolution is void under the Articles of Association because both Trust-nominated directors must approve a chairmanship resolution. The dispute also concerns the effect of the chairman's earlier decision to step aside, an ongoing successor-selection process, and uncertainty over a nominee director's status following a failed general meeting. Separately, the rejection of Tata Sons' deregistration request has revived questions over compliance with the listing requirement applicable to an upper-layer non-banking financial company.

Board reappointment validity depends on shareholder-nominated director consent, directorship quorum concerns, and leadership continuity amid listing compliance.
Tata Sons' board approved by majority vote the Executive Chairman's reappointment for a further five-year term after he reconsidered an earlier decision not to seek renewal. Tata Trusts contest the validity of the resolution, maintaining that the Articles of Association require affirmative votes from both Trust-nominated directors and that a dissenting vote renders a chairmanship resolution legally void. They also cite the accepted succession process and unresolved directorship status arising from a general meeting lacking quorum.

Japan's central bank raises benchmark interest rate to 1.25 pc, highest in 31 years

Tokyo, Sep 18 (AP) Japan's central bank on Friday raised the benchmark interest rate to 1.25 per cent from 1.0 per cent, a 31-year-high.

The Bank of Japan has been trying to normalise monetary policy after decades of keeping interest rates near or below zero to try to encourage more borrowing and spending to counter deflation and pull Japan's economy out of the doldrums.

The rate increase in the uncollateralised overnight call rate, a short-term rate, was expected at the end of the two-day monetary policy board meeting and has widely figured into recent global markets.

Bank of Japan Gov. Kazuo Ueda said the decision was reached after looking at various risks like the war in Iran, the expanding market demand for artificial intelligence and currency fluctuations.

“The Japanese economy is continuing to recover gradually,” he told reporters, while noting inflation was close to the targeted 2 per cent.

Analysts have said another increase was possible later this year or early next year. When asked about further hikes, Ueda stressed more time is needed to see if price increases stay stable, along with needing to monitor wage growth and other risk factors.

Two of the nine-member board dissented, expressing concerns about the strength of Japan's economic growth, according to Ueda.

The US Federal Reserve also raised its key rate this week. The US increase Wednesday, the first since 2023, was made in an effort to quell stubbornly high inflation.

The US has also been pressuring Japan to raise rates because of concerns about the weakening yen.

The nations intervened together recently to prop up the yen. Despite the Bank of Japan's move, the US dollar grew stronger, momentarily reaching above 157 yen. It reached above 160 yen earlier this year.

The Bank of Japan has set a target inflation rate of about 2 per cent. Inflation is about that now in Japan, although some consumers complain that the recent surge in prices is too much, especially in gas and oil-related products.

“With crude oil prices remaining elevated, the Bank of Japan is expected to implement an additional rate hike sooner rather than later to limit the risk that consumer inflation exceeds the underlying inflation rate,” said Harumi Taguchi, an economist at S&P Global Market Intelligence.

Higher rates may also weigh on the economy because of heavier borrowing costs for small and medium-sized enterprises, as well as higher mortgages, she added.

Analysts are also worried about the aggressive public spending promised by the government of Prime Minister Sanae Takaichi, such as tax cuts and aggressive defence investments, when public debt is already ballooning.

Tokyo's benchmark Nikkei 225 rose after the Bank of Japan decision was announced, edging up 1.4 per cent. (AP) GRS GRS
