<h1>New Rules Require Shareholders to Declare Beneficial Interests Using BEN Forms; Exceptions for Listed Companies.</h1> The Companies (Beneficial Interest and Significant Beneficial Interest) Rules, 2018, established by the Central Government under the Companies Act, 2013, require registered and beneficial owners to declare their interests in company shares. Registered owners must file Form No. BEN-1, and beneficial owners must file Form No. BEN-2 within thirty days of acquiring or changing their interest. Significant beneficial owners must declare their interests using Form No. BEN-4. Companies must maintain a register of significant beneficial owners and file returns with the Registrar. Exceptions apply to listed companies and their subsidiaries. Companies can seek Tribunal orders to impose restrictions on shares.
