Authorised capital increase fees: ROC fee slabs govern additional filing costs and stamp duty applies.
Increasing authorised capital triggers ROC registration fees determined by prescribed slabs with per-10,000 incremental charges and a cap for large amounts, together with an additional stamp duty of 0.15% on the increased or fresh authorised capital; the reply applies the slab formula to compute existing and incremental ROC fees for a five crore increase from eleven to sixteen crore. We want to Increase our Company's authorised Share capital from 11 crore to 16 crore. please let me know,  the procedure and applicable fee to be deposited in ROC. Please define in detials with working of Fee structure.

Fees For Registration Of A New Company

Authorized Capital

Fees (in Rs.)

i)

Less than Rs. 1,00,000

4,000

ii)

Rs. 1,00,001- Rs. 5,00,000

4,000 + 300 for every 10,000

iii)

Rs. 5,00,001- Rs. 50,00,000

16,000 + 200 for every 10,000

iv)

Rs. 50,00,001-Rs. 1 crore

1,06000 + 100 for every 10,000

v)

Exceeding Rs. 1 crore

1,56000 + 50 for every Rs. 10,000 subject to maximum of Rs. 2 Cr.

For enhancement of Authorized Capital or for registration of a new company, an additional stamp duty is payable @0.15% of the increased authorized capital or fresh authorized capital of new company as per Delhi Stamp Act.

Dear Pradeep Kaushik,

As per above table, the fee paid by company for 11 Crore paid up capital would be Rs.656000/-. The further capital is 5 Crores (16-11 Crores). The fee for the increased capital shall be Rs.2,50,000/-.
