India Updates FDI Policy for Securities Market Infrastructure; 49% Cap via Automatic Route Remains.
The Government of India has amended the foreign direct investment (FDI) policy for infrastructure companies in the securities market, specifically stock exchanges, commodity exchanges, depositories, and clearing corporations. The amendment to paragraph 5.2.21 of the Consolidated FDI Policy Circular of 2016 maintains the FDI cap at 49% through the automatic route. Foreign investment, including by Foreign Portfolio Investors (FPIs), must comply with relevant regulations, including the Securities Contracts (Regulation) and SEBI guidelines. The amendment clarifies that terms not defined within the regulations will adhere to definitions in existing financial and corporate legislation. The changes are effective immediately.
