Delivery of negotiable instruments completes negotiation and determines negotiability; bearer by delivery, order by endorsement. Delivery, actual or constructive, completes the making, acceptance or indorsement of promissory notes, bills of exchange and cheques; between immediate parties delivery must be by the maker/acceptor/indorser or an authorized person. Delivery to non-holders-in-due-course may be shown to have been conditional or for a special purpose. Instruments payable to bearer negotiate by delivery; instruments payable to order negotiate by indorsement and delivery.
