Letter of offer requirements ensure public shareholders receive disclosures, inspection rights and means to tender shares during delisting. Regulation 16 requires the acquirer to dispatch the letter of offer promptly to all public shareholders of the equity class sought to be delisted and make it available on the company's and Manager's websites; the letter must include disclosures from the detailed public announcement and other necessary information, permit inspection of referenced documents facilitated by the Manager to the offer, be accompanied by a Form for creating a lien or tendering physical shares, and allow eligible public shareholders to participate and tender shares even without receipt of the physical letter or Form by following the Board's specified process.
