<h1>Rule 2A narrows meaning of listed companies under section 2(52) for certain debt and overseas listings</h1> Rule 2A specifies categories of companies that, despite having certain securities listed, are not treated as 'listed companies' under section 2(52) of the Companies Act. It excludes public companies that have not listed equity shares in India but have listed non-convertible debt securities, non-convertible redeemable preference shares, or both, on a private placement basis under relevant SEBI regulations. It also excludes private companies that have listed non-convertible debt securities on a private placement basis. Further, it excludes public companies whose equity shares are unlisted in India but listed on specified foreign stock exchanges under section 23(3).
