Companies (Amendment) Act, 2020: New rules for public companies listing abroad; Government can exempt certain legal provisions.
The Companies (Amendment) Act, 2020 modifies section 23 of the principal Act by adding two new sub-sections. Sub-section (3) allows certain public companies to issue securities for listing on stock exchanges in designated foreign jurisdictions. Sub-section (4) grants the Central Government the authority to exempt specific classes of these public companies from certain legal provisions, including those in Chapter IV, sections 89, 90, and 127. Such exemptions must be notified and subsequently presented to both Houses of Parliament.
