<h1>Companies Must File Board Resolution for Share Buyback with SEBI and Stock Exchanges Within Two Days</h1> A company authorized by a Board of Directors' resolution to buy back its shares or other specified securities must file a copy of this resolution with the Securities and Exchange Board of India (SEBI) and the relevant stock exchanges within two working days of passing the resolution. Prior to making a public announcement, a public notice must be issued in widely circulated English, Hindi, and regional language dailies near the company's registered office within two days of the resolution. This notice must include disclosures specified in Schedule I. These regulations were amended in 2012, updating earlier provisions from 2004.
