Show-cause notice procedure ensures agencies receive an opportunity to reply and reasoned orders before penalties are imposed. Regulation 39 required that after receiving the enquiry officer's report the Board issue a show-cause notice proposing penalty, allow the credit rating agency a brief period to reply, then consider the reply and pass a self-contained, reasoned order justifying any penalty, and serve a copy of that order on the agency.
