Debenture trustee powers: ensure investor protection through nominee-director rights, ongoing disclosures and supervision of security creation. Regulation 25 requires the debenture trustee to be vested with requisite powers, including a consultative right to appoint a nominee director, and to perform duties under applicable regulations, the trust deed and offer document with due care, diligence and loyalty. The trustee must ensure ongoing disclosure of all material events and supervise implementation of security creation and the debenture redemption reserve to protect holders of debt securities.
