Section 101 Amendment: Shorter Notice for General Meetings with 95% Member Consent Requirement
Section 101 of the principal Act is amended to allow a general meeting to be called with shorter notice than previously required, provided certain consent conditions are met. For an annual general meeting, at least 95% of voting members must consent. For other general meetings, if the company has share capital, a majority of voting members representing at least 95% of the voting share capital must consent. If the company lacks share capital, 95% of the total voting power must consent. Members entitled to vote on specific resolutions are considered only for those resolutions.
