Directors of private firms liable for unpaid GST under Section 89 unless they prove no gross neglect or misfeasance.
Under Section 89 of the Delhi Goods and Services Tax Act, 2017, directors of a private company are held jointly and severally liable for any unpaid tax, interest, or penalty related to the supply of goods or services if recovery is not possible. This liability applies unless the director can demonstrate that the failure to recover is not due to their gross neglect, misfeasance, or breach of duty. If a private company converts to a public company, this liability does not extend to directors for debts incurred during the private company period, except for personal penalties.
