Costs of voluntary winding up: expenses and liquidator's fee paid from LLP assets in priority, subject to secured creditors. All costs, charges and expenses properly incurred in the winding up, including the fee of the LLP Liquidator, shall be payable out of the assets of the LLP in priority to all other claims, subject to the rights of secured creditors, if any, and workmen.
