Documents to annex to a prospectus require expert consents, appointment contracts, material contracts, underwriting agreement, and power of attorney. The prospectus must annex specified documents: expert consents; copies of managing director/manager appointment contracts or a memorandum of particulars if unwritten; copies of material contracts not in the ordinary course of business entered within the preceding two years; the underwriting agreement; and a power of attorney if the prospectus is signed through a duly authorised agent of the directors.
