of <h1>Prospectus Filing: Include Expert Consents, Director Contracts, Material Contracts, Underwriting Agreement, Power of Attorney per 2014 Rules.</h1> Documents required to be annexed to a prospectus under the Companies (Registration of Foreign Companies) Rules, 2014 include: (a) any expert consent needed for the prospectus issuance, (b) a copy of contracts for appointing a managing director or manager, or a memorandum detailing such contracts if unwritten, (c) copies of material contracts not in the ordinary course of business but made within the last two years, (d) a copy of the underwriting agreement, and (e) a power of attorney if the prospectus is signed by an authorized agent of the directors.
