Companies Must Submit Managerial Appointment Applications in Form MR.2 with Fee Within 90 Days Under 2014 Rules
Under the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, any application to the Central Government regarding managerial appointments under Chapter XIII must be submitted in Form No. MR.2 with a specified fee. Applications for approval must be filed within 90 days of the appointment. Previously, companies not listed or subsidiaries of listed companies could pay managerial personnel beyond the profit ceiling without government approval, provided certain conditions were met, such as board and shareholder approval, no debt defaults, and filing of required financial documents. This provision was omitted in a 2018 notification.
