Information memorandum requirement: Form PAS-2 must be filed with the Registrar before a subsequent offer under a shelf prospectus. An information memorandum must be prepared in Form PAS-2 and filed with the Registrar, together with the prescribed fee, in respect of a second or subsequent offer of securities under a shelf prospectus, and must be filed within the prescribed period prior to that offer.
